These Terms & Conditions ("Terms") govern access to and use of the Instant Event Staffing platform (the "Platform"), operated by Instant Event Staffing ("IES," "we," "us," or "our"). By creating an account, posting a shift, accepting a shift, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. The Platform & Our Role

IES operates a marketplace that connects businesses seeking hourly event and hospitality staffing ("Businesses") with independent workers who accept those shifts ("Workers" or "Pros"). IES is a platform provider, not an employer, staffing agency of record, or party to the working relationship between a Business and a Worker. Workers who accept shifts through the Platform do so as independent contractors of the Business for that shift, not as employees of IES, unless a specific arrangement states otherwise in writing.

2. Eligibility & Accounts

You must be of legal working age in your jurisdiction and able to form a binding contract to use the Platform. You agree to provide accurate, current information when registering and to keep it up to date. You're responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Business Obligations

  • Post shifts with accurate position, timing, location, pay rate, and requirements (dress code, physical demands, certifications needed);
  • Pay the posted rate for shifts completed by a Worker, in accordance with the payment terms in Section 5;
  • Comply with all applicable labor, health, and safety laws at the venue where a shift takes place; and
  • Treat Workers professionally and refrain from requesting work outside the scope of the posted shift.

4. Worker Obligations

  • Maintain an accurate profile, including work history, certifications, and availability;
  • Arrive on time and prepared for accepted shifts, and follow the venue's dress code and shift instructions;
  • Clock in and out accurately using the Platform's tools; and
  • Report any safety concerns or shift discrepancies promptly through the Platform.

Repeated no-shows, cancellations, or policy violations may result in reduced access to shifts or suspension from the Platform, as described in Section 8.

5. Fees & Payment Terms

Businesses agree to pay the posted rate for each completed shift plus any applicable platform service fee, as shown before a shift is published. Payments are processed through our third-party payment processor; invoicing and payout timing are described in your account dashboard and may vary by Worker tier or payout method selected. IES may withhold or reverse a payout in cases of fraud, dispute, or violation of these Terms, pending investigation.

6. Ratings & Conduct Standards

Businesses may rate Workers after a shift, and Worker reliability metrics (such as no-show rate and rating) affect future shift eligibility, including access to the Top Pro program. Ratings must be honest and based on the Worker's actual performance on the shift; retaliatory or fraudulent ratings may be removed at our discretion.

7. Cancellations & No-Shows

Businesses that cancel a confirmed shift with insufficient notice, and Workers who fail to appear for an accepted shift without timely notice, may be subject to a cancellation fee, rating impact, or reduced Platform access, as disclosed in the applicable shift terms at the time of posting or acceptance.

8. Prohibited Conduct

You agree not to: post false or misleading shift or profile information; harass, discriminate against, or endanger another user; attempt to arrange payment for a shift outside the Platform to avoid fees ("circumvention"); use the Platform for any unlawful purpose; or interfere with the Platform's normal operation (including scraping, reverse engineering, or introducing malicious code). Violation of this section may result in suspension or termination of your account.

9. Intellectual Property

The Platform, including its design, text, graphics, and underlying software, is owned by IES or its licensors and protected by intellectual property laws. You're granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose — nothing in these Terms grants you any other rights to our intellectual property.

10. Disclaimers

The Platform is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. IES does not guarantee that shifts will be filled, that Workers will show up, or that Workers will perform to any particular standard — IES facilitates the connection but is not responsible for the acts or omissions of Businesses or Workers.

11. Limitation of Liability

To the fullest extent permitted by law, IES will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Platform, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the Platform will not exceed the amount of fees you paid to IES in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold IES harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your use of the Platform, or your conduct toward another user.

13. Termination

You may stop using the Platform at any time. We may suspend or terminate your account if you violate these Terms, pose a risk to other users, or for other reasonable business cause, with notice where practicable.

14. Governing Law & Disputes

These Terms are governed by the laws of the state in which IES is headquartered, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Platform will first be addressed through good-faith negotiation, and if unresolved, through the process described in your account agreement.

15. Changes to These Terms

We may update these Terms from time to time. We'll update the "Last updated" date above and, for material changes, provide additional notice where required by law. Continued use of the Platform after a change takes effect means you accept the updated Terms.
